Publication required
New York requires new entities to publish notice of formation. LLCs (and LLPs) must publish a copy of the Articles of Organization (or a notice of formation) once a week for six successive weeks in two newspapers (one daily, one weekly) designated by the county clerk of the county where the LLC's office is located (NY LLC Law §206). After publishing, the LLC files a Certificate of Publication with DOS ($50 fee) with the printers' affidavits attached. No counties are statutorily exempt — the requirement applies statewide; however, actual newspaper costs vary widely by county (highest in New York County/Manhattan, often $1,000–$2,000+; far lower in upstate counties). Corporations are NOT subject to the publication requirement; it applies only to LLCs, LLPs, and limited partnerships. Deadline: Within 120 days after the effective date of the Articles of Organization; failure to publish and file the Certificate of Publication within 120 days results in suspension of the LLC's authority to carry on business.. We flag it so you don't miss it.

New York registered agent questions
Do I need a registered agent in New York?
Yes. New York — like every US state — requires your LLC or corporation to maintain a registered agent with a physical New York address, available during business hours to receive legal documents and state mail. You can be your own agent only if you have a New York street address and are personally available every weekday.
Can I use Kicker as my New York registered agent if I live abroad?
Absolutely. Non-US founders can't be their own registered agent because a US address is required. We provide a compliant New York address and handle every document that arrives — this is one of the most common reasons international founders use us.
Will you remind me about my New York annual report?
Yes. Biennial Statement is due every two years during the anniversary calendar month — i.e., the calendar month in which the LLC's Articles of Organization (or a corporation's Certificate of Incorporation / foreign entity's Application for Authority) was originally filed. It should not be filed before that month. We track that date and remind you ahead of it — and we can file the report for you too.
How do I switch my New York registered agent to Kicker?
After you sign up we prepare the New York change-of-agent form, file it with the state, and confirm when it's active — usually within 1–5 business days. Your current agent is notified automatically through the state filing.
