Publication required

Nebraska requires new entities to publish notice of formation. LLCs must publish a Notice of Organization for three successive weeks in a legal newspaper of general circulation near the LLC's designated office (Neb. Rev. Stat. 21-193). The newspaper must be in the county of the designated office. No counties are exempted - it is a statewide requirement for all Nebraska LLCs (and corporations publish a Notice of Incorporation under the same scheme). Deadline: Proof/affidavit of publication must be filed with the Secretary of State within 45 days or the SOS cancels the LLC. Publication runs once weekly for three consecutive weeks.. We flag it so you don't miss it.

Foreign qualification

Registering an out-of-state business in Nebraska costs a $100 state fee — and requires a Nebraska registered agent. We provide both.

Filing speed

Online (electronic) filings are processed first/fastest; the SOS does not publish a fixed standard turnaround, but online submissions are typically processed within a few business days.

FAQ

Nebraska registered agent questions

Do I need a registered agent in Nebraska?

Yes. Nebraska — like every US state — requires your LLC or corporation to maintain a registered agent with a physical Nebraska address, available during business hours to receive legal documents and state mail. You can be your own agent only if you have a Nebraska street address and are personally available every weekday.

Can I use Kicker as my Nebraska registered agent if I live abroad?

Absolutely. Non-US founders can't be their own registered agent because a US address is required. We provide a compliant Nebraska address and handle every document that arrives — this is one of the most common reasons international founders use us.

Will you remind me about my Nebraska annual report?

Yes. Due April 1 of odd-numbered years (LLCs report biennially in odd years); delinquent June 1, administrative dissolution follows mid-June if unfiled. We track that date and remind you ahead of it — and we can file the report for you too.

How do I switch my Nebraska registered agent to Kicker?

After you sign up we prepare the Nebraska change-of-agent form, file it with the state, and confirm when it's active — usually within 1–5 business days. Your current agent is notified automatically through the state filing.
